CORPORATE SECRETARY OR ASSISTANT SECRETARY SERVICES
Rama Law will act as a liaison between the trustees/directors and management in order to help orient new trustees/directors to the business trust/corporation and the board, assist with compliance issues, coordinate and organize the flow of information to the trustees/directors,obtain from the trustees/directors information needed for legal and regulatory compliance, assist in trustee/director compensation, advise the Chairman of the Board on committee assignments for trustees/directors, keep management informed on trustee/director views and preferences, provide resources for and coordinate board evaluations, provide services to senior officers and maintain shareholder relations.
Rama Law provides full board meeting support by attending Board and Committee Meetings to ensure smooth operation of the meetings and assist in the preparation of the board materials, including agendas, resolutions, board memorandums, notices, and board/committee meeting minutes. Rama Law assists in the Annual Meeting of the Shareholders including drafting of scripts and Proxy Statement preparation and solicitation.
Rama Law knows that certain times of the year are busier than others. As such, Rama Law will assist its clients during its annual update process and any supplements to its prospectus or statement of additional information or additional regulatory filings.
INVESTMENT ADVISERS
Rama Law provides legal services in the completion of all quarterly and annual registration forms, submission of supporting documentation and filing with the SEC and/or appropriate state offices, preparing and registering required persons to be an investment adviser representative based on state securities registration requirements, maintaining and updating written policies and procedures, review and maintenance of Form ADV Part II (Client Brochure), maintaining and implementation of Investment Adviser Code of Ethics customized to the client firms' business, creating compliance calendars, establishing and implementing anti-money laundering processes from the Investment Adviser and third party service providers, reviewing proxy voting policies, maintaining business continuity and succession plans, due diligence of third party service providers and assisting the Chief Compliance Officer in the annual compliance program review. Rama Law will assist with all corporate recordkeeping requirements and maintenance ensuring that all records are filed, protected, indexed and kept up-to-date.
